The Non-executive Chairman of a Board of Directors does not occupy an executive management position in a company. The Non-executive Chairman operates independently from the company, receives plans and proposals from the Chief Executive Officer, through the Corporate Secretary, and presents these to the Board for approval.
In this regard, the Commissioner-General runs the GRA; the Non-executive Chairman runs the Board. Among the Board’s responsibilities is to evaluate the Commissioner-General’s performance. Splitting the duties enables the Commissioner-General to focus on running the GRA, freeing him from potentially sensitive Board leadership tasks. The non-executive chair’s role is to improve and maximize the governance process, not to manage the GRA daily operations and as such, he can play an important role in focusing the Board’s attention on critical issues and helping to set a positive tone for Director’s feedback.
In a nutshell, the actions of the present Non-executive Chairman constitutes a serious breach of managerial principles and ethics, and a nauseating affront to good governance, transparency, accountability and probity. To compound matters, the external storage of important GRA files/documents and its access by the Personal Assistant is certainly a travesty on no mean sort. In all the present rigmarole and public caterwauling, the non-executive Chairman should be advised to get out of the kitchen if he cannot stand the heat. Removing the pots and pans will only add fuel to the fire engulfing his job.
Nevertheless, APNU-AFC government seems bent on making the past administration look angelic in their operations especially where the GRA is concerned. Or, are they bringing innovation and creativity to good governance?
